Terms and Conditions

1. Acceptance of Terms

By accessing, browsing, downloading, installing, purchasing, registering for, or otherwise using any part of the Services, you represent that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference, including our Privacy Policy.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Services. If a product, feature, or jurisdiction imposes a minimum age requirement, you may only use that portion of the Services if you meet the applicable requirement.

3. Changes to the Terms

We may modify these Terms from time to time. If we do, we will update the “Last Updated” date above and may provide additional notice where appropriate. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.

4. Accounts and Credentials

Some Services may require an account, API key, token, or other credential. You are responsible for:

• maintaining the confidentiality of your credentials
• all activities occurring under your account or credentials
• providing accurate and current account information
• promptly notifying us of any unauthorized access or suspected compromise

We may suspend or revoke access if we believe your account or credentials have been compromised, misused, or used in violation of these Terms.

5. Access Rights and Limited License

Subject to your compliance with these Terms, EmbeddedTechno grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for their intended purpose.

No ownership rights are transferred to you. Except where expressly permitted in writing, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, sell, lease, license, or exploit the Services or any part thereof.

6. Acceptable Use

You agree not to:

• use the Services for unlawful, fraudulent, abusive, or deceptive purposes
• interfere with or disrupt the Services, servers, or networks
• bypass rate limits, access controls, or technical restrictions
• probe, scan, or test system vulnerability without authorization
• scrape, extract, or harvest data in an unauthorized manner
• reverse engineer or attempt to derive source code except where legally permitted
• use the Services to infringe intellectual property or privacy rights
• upload malicious code, malware, or harmful content
• misrepresent your identity or affiliation
• use the Services in a way that could impose unreasonable load or operational risk

7. API Access and Technical Restrictions

If EmbeddedTechno provides API access, you may use the API only in accordance with these Terms, applicable documentation, quotas, and technical restrictions.

You may not:

• share or publicly expose private API credentials
• circumvent authentication or request throttling
• use the API to replicate or compete with the Services without authorization
• resell, sublicense, or broker API access unless expressly permitted by contract
• mask or conceal abusive or automated traffic

We may monitor API usage, enforce quotas, cache or rate-limit responses, and suspend access where necessary to protect the Services, upstream providers, or other users.

8. Software, Plugins, and Downloadable Products

Downloadable software, plugins, tools, extensions, sample content, or related assets provided by EmbeddedTechno are licensed, not sold, unless otherwise stated in a separate written agreement.

Any such software or product may be subject to additional license terms, installation requirements, compatibility limitations, and update policies. You are responsible for using such products only in supported environments and in compliance with any product-specific documentation or licensing conditions.

9. AI Features, Analysis, and Generated Content

Some Services may include AI-powered or automated features that generate outputs such as summaries, recommendations, analyses, or other content. Such outputs may be incomplete, inaccurate, or outdated.

You remain solely responsible for evaluating any generated output before relying on it for business, technical, financial, operational, or personal decisions.

We may use prompts, requests, inputs, and interaction data to operate, improve, secure, and troubleshoot AI-enabled features, subject to our Privacy Policy and applicable law.

10. Sports, Betting, and Market Information Disclaimer

Certain Services may provide sports analysis, matchup commentary, real-time data, betting market information, odds comparisons, prop evaluations, or other related content. Such content is provided for informational and analytical purposes only.

EmbeddedTechno does not guarantee:

• the accuracy, completeness, timeliness, or availability of sports or odds data
• the availability of any specific sportsbook, line, market, or bookmaker
• that any projection, estimate, or analysis will be correct
• any betting outcome, financial result, or market result

You are solely responsible for your own decisions, including wagering or financial decisions. You should not use the Services where doing so would violate applicable law or regulation.

11. User Content and Submissions

If you submit content, files, prompts, data, messages, code, feedback, or other materials to the Services (“User Content”), you represent that you have all rights necessary to do so.

You retain ownership of your User Content, but you grant EmbeddedTechno a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, modify, and use that User Content as necessary to operate, maintain, improve, secure, and provide the Services.

We may remove or refuse User Content that violates these Terms, applicable law, or the rights of others.

12. Intellectual Property

The Services, including software, code, design, branding, text, graphics, layouts, documentation, models, workflows, APIs, and other content provided by EmbeddedTechno, are owned by or licensed to EmbeddedTechno and are protected by intellectual property and other applicable laws.

Except for the limited rights expressly granted in these Terms, no right, title, or interest in the Services or EmbeddedTechno intellectual property is granted to you.

13. Third-Party Services and Data Sources

The Services may rely on or integrate with third-party providers, including hosting providers, analytics platforms, AI systems, sports data vendors, odds providers, payment processors, communication tools, or sportsbooks.

EmbeddedTechno is not responsible for the availability, performance, content, privacy practices, or accuracy of third-party services or data. Your use of such third-party services may be subject to separate terms and policies.

14. Payments, Fees, and Refunds

If any portion of the Services is offered on a paid basis, you agree to pay all applicable fees and charges as presented at the time of purchase or subscription.

Unless otherwise stated in a separate written policy, fees are non-refundable once paid. EmbeddedTechno may change pricing, billing structures, or subscription terms prospectively.

Taxes, duties, or payment processing fees may apply depending on the product, transaction type, and jurisdiction.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, created risk, engaged in abuse, or where required to protect the Services, our users, our providers, or our legal interests.

Upon termination, your right to use the affected Services will cease immediately, but provisions that by their nature should survive termination will remain in effect.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

EMBEDDEDTECHNO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, DATA, OUTPUT, OR RESULT WILL BE ACCURATE OR RELIABLE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBEDDEDTECHNO LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBEDDEDTECHNO’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

• the amount you paid to EmbeddedTechno for the applicable Service in the twelve (12) months preceding the claim, or
• one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless EmbeddedTechno LLC and its members, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• your use of the Services
• your violation of these Terms
• your violation of applicable law
• your User Content
• your infringement or violation of any third-party rights

19. Governing Law and Disputes

These Terms and any claim, dispute, or controversy arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state courts located in Henderson County, North Carolina, or, if federal jurisdiction exists, in the United States District Court for the Western District of North Carolina. You consent to the personal jurisdiction and venue of such courts.

20. General Terms

These Terms, together with any policies or additional terms incorporated by reference, constitute the entire agreement between you and EmbeddedTechno regarding the Services, unless superseded by a separate written agreement.

• If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Our failure to enforce any provision will not constitute a waiver of that provision or any other provision.
• You may not assign or transfer these Terms without our prior written consent.
• We may assign these Terms in connection with a business transfer, restructuring, or sale.
• Headings are for convenience only and do not affect interpretation.
